Terms of Service
1. Agreement
These Terms of Service ("Terms") are an agreement between you and Sunyears, Inc. ("Sunyears", "we", "us") and govern your use of the Koozhan AI website, console and API (the "Service"). By creating an account, adding balance or using the Service, you agree to these Terms, our Privacy Policy and our Refund Policy. If you use the Service for an organization, you confirm that you are authorized to bind it to these Terms.
2. Eligibility
- You must be at least 18 years old and able to form a binding contract.
- You may not use the Service if you are located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, or if you are on a U.S. government list of prohibited or restricted parties.
- You must comply with all export control and sanctions laws that apply to your use of the Service, and you may not help anyone else evade them.
3. The Service
Koozhan AI is an API gateway. It lets you send requests to the AI models listed on our pricing page through OpenAI-compatible and Anthropic-compatible interfaces, with one account, one balance and your own API keys.
Model names and trademarks belong to their respective owners. Koozhan AI is an independent service and is not affiliated with, endorsed by or sponsored by any model provider.
4. Upstream model providers
Your requests are processed by third-party AI model providers and the channels through which we access them ("upstream providers"). To keep the Service available we may route a request to, or switch between, different upstream channels for the same model. Upstream providers have their own usage policies and data practices; your use of a model must also comply with the usage policies that apply to it. Upstream providers may change or withdraw models, features or limits, which may in turn change what the Service can offer.
5. Service rules and limits
- Compatibility. Compatibility with OpenAI or Anthropic interfaces is described in our documentation. It does not mean that every upstream parameter, model, tool or response format is identical or always available.
- Limits and protections. To protect stability, fair use and compliance, we may apply rate limits, concurrency limits, token-per-minute limits, balance checks, risk controls, abuse filters and other technical measures.
- Request outcomes. Requests may fail, be delayed, retried, queued or rejected because of insufficient balance, limits, risk controls, upstream failures, network errors, malformed requests, model withdrawal or compliance requirements.
- No service-level commitment. Unless we sign a written service-level agreement with you, latency, availability, throughput, context windows, model capabilities and sample outputs shown on our pages, documentation or console describe the Service at the time shown and are not ongoing commitments.
6. Your account and API keys
You must provide accurate information and keep your password and API keys secure. You are responsible for all usage under your account, including usage caused by keys you disclose, embed in public code or fail to protect. If you believe a key has been exposed, revoke it in the console and contact us at [email protected]. We will never ask for your password or full API key.
7. Prepaid balance and billing
- The Service uses a prepaid balance. You add balance with one-time payments ("top-ups"), and API usage is deducted from it.
- Usage is billed per model by input tokens, output tokens, cached tokens and any other units shown on the pricing page. The price in effect when a request is made applies to that request. We may change prices, minimum top-ups and billing items; changes apply to later usage and orders, never to charges already recorded.
- Top-ups are charged in Chinese yuan (CNY), from ¥50 to ¥5,000 per payment, while balance and model prices are denominated in US dollars. Checkout shows the exchange rate and the balance you will receive before you pay, and that rate is locked for your order.
- Paid balance comes from your top-ups. Promotional balance (bonuses, rewards or credits we grant) may have its own validity period and usage scope, which we state when we grant it.
- Balance is not a bank deposit, e-money, a security, an investment, a stored-value card or a gift card. It cannot be transferred, sold, pledged or exchanged for cash, and it can only be used for the Service, except as provided in the Refund Policy or required by law.
- Paid balance does not expire while your account is in good standing.
- There are no subscriptions. A top-up never renews automatically.
8. Payments and delivery
Orders placed through FastSpring checkout are sold by FastSpring.com, our authorized reseller and merchant of record; FastSpring's terms of sale govern that purchase transaction, and these Terms govern your use of the Service. Where direct checkout is offered, Sunyears, Inc. is the seller and processes the payment through its payment processor. The checkout page shows who you are buying from. Details, including what appears on your statement, are on our Payments and Billing page.
The payment methods offered depend on the checkout, your region and your device. You must follow the rules of the checkout provider and use a payment method you are authorized to use. We do not receive or store your full card number.
The Service is digital; nothing is shipped. Balance is credited automatically after the payment processor confirms your payment and we validate the order. A "payment successful" page in your browser is not by itself confirmation that balance was credited. If your balance is not credited within a reasonable time, contact us with your account email and order number.
9. Refunds and cancellation
Refunds are governed by our Refund Policy. In short, an unused top-up can be refunded in full to the original payment method if you request it within 7 days of payment and no billable usage has occurred since that payment. Because there are no subscriptions, there is nothing to cancel; you may stop using the Service or ask us to close your account at any time.
10. Promotions
We may offer promotions such as bonus balance or discounted prices. Each promotion's amount, eligibility, validity period and any other conditions are stated where the promotion is offered. Unless stated otherwise: promotional balance cannot be refunded, withdrawn or transferred; each person or organization may receive a promotion once; and we may end or change a promotion at any time without affecting benefits already granted. We may withhold or reverse promotional benefits obtained through abuse, such as multiple accounts or automated sign-ups.
11. Prohibited conduct
You may not use the Service, or help anyone else use it, to:
- break the law or infringe others' rights, including intellectual property and privacy rights;
- create or distribute child sexual abuse material or any content that sexualizes minors;
- create or distribute content that incites violence, promotes terrorism or attacks people based on protected characteristics;
- commit fraud, phishing, scams, impersonation or other deceptive practices;
- build, run, improve or support hacking tools, or carry out penetration, intrusion, vulnerability exploitation, credential theft or other attacks against any system, network, application or person;
- create or distribute malware, ransomware, spyware or botnets;
- process other people's personal information, or anyone's trade secrets, without the necessary authorization;
- attack, probe, overload or disrupt the Service, or circumvent access controls, rate limits, quotas or billing;
- use scripts, bots, proxy pools, credential stuffing or multiple accounts to abuse sign-ups, promotions, referrals or limits;
- resell, share or sublicense your account or API keys without our written permission;
- violate the usage policies of the model providers whose models you use;
- file chargebacks or payment disputes in bad faith.
We may review usage signals to enforce these rules and may cooperate with law enforcement where required by law.
12. Your content and AI output
You keep your rights in the content you submit and are responsible for having the right to submit it. You understand that your requests are sent to upstream providers to generate responses. We do not guarantee that AI output is accurate, complete, current, unbiased or suitable for your purpose. Review it before relying on it, and do not use it without appropriate professional review for medical, legal, financial, safety-critical or other high-risk decisions. How we handle your data is described in the Privacy Policy.
13. Suspension and termination
You may stop using the Service at any time and may ask us to close your account. Closing an account does not by itself trigger a refund; eligible payments are refunded under the Refund Policy.
We may limit, suspend or terminate your access, or revoke API keys, if you breach these Terms, if there is a security risk, fraud, a payment dispute or non-payment, or if the law or an upstream provider requires it. Where needed to protect the Service, other users or compliance, we may apply temporary restrictions without prior notice; where practical and safe, we will tell you and give you a way to respond. If you file a chargeback or payment dispute, we may freeze the related balance and orders while it is investigated.
Suspension, termination or account closure does not remove obligations that already arose, including fees, refunds being processed, indemnity, disputes and legal obligations. Sections that by their nature should survive, such as sections 7, 12, 15, 16, 18 and 19, survive termination.
14. Intellectual property
The Koozhan AI website, software, interface, documentation and brand are owned by Sunyears, Inc. or its licensors. You may not copy, imitate or misuse them except as permitted by law or with our written permission.
15. Disclaimers and limitation of liability
To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, continuous availability, accuracy and security.
To the extent permitted by law, Sunyears, Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law, including for fraud or willful misconduct, and do not affect any consumer rights you have under applicable law.
16. Indemnity
To the extent permitted by law, you will defend and indemnify Sunyears, Inc. against third-party claims, losses and reasonable costs arising from your use of the Service, the content you submit, your breach of these Terms or the law, your infringement of others' rights, misuse of your API keys, or claims by upstream providers caused by your use.
17. Notices
We may send notices to the email address on your account, in the console or on our website; a notice sent by email is effective when sent. You can send notices to us at [email protected]. Keep your account email up to date.
18. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Before filing a claim or a payment dispute, please contact us at [email protected] so we can try to resolve the issue in good faith. Nothing in these Terms removes mandatory rights you have under the law of the place where you live.
19. Changes to these Terms
We may update these Terms. We will post the new version on this page with a new effective date and, for material changes, give reasonable advance notice. Continuing to use the Service after the effective date means you accept the updated Terms.
